1. Welcome to Pixel Noise

Welcome to Pixel Noise, an online image-processing platform designed to help
artists, designers, apparel decorators, entrepreneurs, and other creative
professionals prepare digital artwork.
By creating an account, purchasing a product or subscription, or using Pixel Noise,
you agree to these Terms of Service, our Privacy Policy, and our Refund &
Cancellation Policy.
Please read these terms before using the service.
If you do not agree, please do not use Pixel Noise.
You must be at least 18 years old, or the legal age of majority in your jurisdiction,
to purchase our services.

2. Our Services

Pixel Noise provides digital artwork-processing tools, which may include:
- Halftone and raster image generation.
- SMART Background Remover.
- SMART Spot Color Checker.
- Image distress effects.
- AI-powered image upscaling.
- Image enhancement and preparation tools.
- Other artwork-processing features introduced in the future.

Pixel Noise is designed to help customers prepare artwork for printing and other
creative applications.
We provide image-processing tools, not printing services, copyright licensing,
trademark clearance, or legal advice.
Features and technical limitations may change as the service evolves.

3. Your Artwork, Your Ownership

Your artwork belongs to you.
Pixel Noise does not claim ownership of artwork, photographs, designs,
illustrations, or other materials uploaded by customers.
You retain the ownership rights you legally possess.
By uploading artwork, you represent that you have the necessary rights or
permissions to upload, process, modify, reproduce, distribute, or commercially use
that material.
Pixel Noise does not independently verify ownership or licensing rights.
Processing an image through Pixel Noise does not transfer copyright, trademark
rights, or other intellectual-property rights to the customer.
For example, uploading and processing a copyrighted character, brand logo, or

protected design does not automatically authorize you to manufacture or sell
products featuring that material.
Customers are responsible for obtaining any necessary licenses, permissions, and
authorizations.
You grant Pixel Noise a limited, nonexclusive right to process your uploaded
material solely as necessary to provide the service, including through authorized
processing providers.
This permission does not transfer ownership of your artwork to Pixel Noise.

4. Copyright and Trademark Responsibility

Customers are responsible for ensuring that their use of uploaded and processed
artwork complies with applicable intellectual-property laws.
Pixel Noise is not responsible for a customer's unauthorized printing,
reproduction, distribution, licensing, or sale of copyrighted or trademarked
materials, except where applicable law imposes responsibility on Pixel Noise.
We reserve the right to investigate legitimate intellectual-property complaints and
take appropriate action.
Repeated infringement or deliberate misuse may result in suspension or
termination of an account.
Copyright holders may submit complaints through our official support contact.

5. Acceptable Use

Pixel Noise may not be used to:
- Engage in illegal or fraudulent activities.
- Violate copyright, trademark, or other intellectual-property rights.
- Upload malicious software or harmful code.
- Attempt to access another customer's account or private information.
- Interfere with the platform's security or normal operation.
- Circumvent billing systems, usage restrictions, or Upscale Credit requirements.
- Abuse free trials by creating repeated or fraudulent accounts.
- Use automated systems to overload or disrupt the service.

We reserve the right to take reasonable action against misuse, including
suspending or terminating accounts.

6. Customer Accounts

Customers must provide accurate registration information and maintain the
security of their accounts.
You are responsible for protecting your password and login credentials.
You should notify Pixel Noise if you believe your account has been accessed
without authorization.
Pixel Noise may use email verification, account security checks, and reasonable
fraud-prevention measures.
Accounts are intended for use by their registered owners unless a particular plan
expressly permits additional users.

7. Three-Day Free Trial

Pixel Noise offers eligible new customers a three-day free trial.
The trial includes:
- 72 hours of eligible access.
- Three complimentary Upscale Credits.
- No credit card required.
- No automatic charges when the trial expires.

The trial begins when the customer account is created.
Trial access expires automatically after 72 hours.
Unused trial Upscale Credits expire when the trial ends.
After expiration, customers may purchase a paid plan to continue using paid
features.
Pixel Noise reserves the right to prevent fraudulent or repeated trial registrations.

8. Subscription Plans and Payments

Pixel Noise may offer monthly subscriptions, annual subscriptions, pay-as-you-go
purchases, lifetime memberships, and other purchasing options.
The applicable price, billing frequency, benefits, and included Upscale Credits will
be disclosed before purchase.
Recurring subscriptions renew automatically until canceled.
Customers authorize the recurring charges disclosed at checkout when
purchasing a subscription.
Billing periods are determined by the customer's individual subscription dates, not
necessarily by calendar months.
For example, a monthly subscription purchased on October 16 generally renews
on November 16.
Applicable taxes and payment-processing requirements may apply.

9. Upscale Credits

Certain Pixel Noise operations require Upscale Credits.
The number of credits provided depends on the customer's plan or purchase.
An eligible upscale operation generally consumes one Upscale Credit.
Credits may be reserved when an operation begins.
If an operation fails under conditions covered by Pixel Noise's credit-refund
system, the applicable credit will be restored.
Monthly Subscription Credits
Unused monthly Upscale Credits do not roll over.
Any unused monthly allocation expires at the end of the applicable billing cycle.
A new allocation becomes available with the next eligible billing cycle.
Free Trial Credits
Trial Upscale Credits expire at the end of the 72-hour free trial.
They cannot be transferred to another account or converted into money.
Pay-As-You-Go Credits
Pay-as-you-go credits are governed by the quantity, validity period, and other
conditions disclosed at purchase.

Lifetime Membership Credits
Lifetime members receive the credit allocation and benefits described in their
purchased lifetime plan.
Where lifetime credits are provided as a recurring allocation, unused credits do not
accumulate beyond the applicable allocation period unless the offer expressly
states otherwise.
Upscale Credits have no cash value and cannot be sold or transferred.

10. Simple & Easy Subscription Cancellation

Cancel anytime. No hassle. No hidden steps.
Pixel Noise believes customers should be free to leave without unnecessary
obstacles.
Customers may cancel recurring subscriptions through a clearly accessible
cancellation option in their account.
There is no requirement to call customer service, send an email, or provide an
explanation to cancel.
Our Cancellation Experience
Before cancellation is finalized, Pixel Noise may display one brief, friendly
confirmation screen:
We're sorry to see you go!
We appreciate you being part of Pixel Noise. Before you leave, is there anything we
could do better? We'd love to hear your feedback.
You're always free to cancel. No pressure. No hassle.
Customers may optionally provide feedback or proceed directly with cancellation.
Feedback is never required.
What Happens When You Cancel
Once cancellation is confirmed:
. Future automatic subscription renewals are stopped.
. The customer receives cancellation confirmation.
. The customer retains paid subscription access through the end of the
billing period already purchased.
. No further subscription renewal charges are initiated.
. Access to subscription-only features ends when the paid period expires,
unless the customer subscribes again.
Cancellation is effective immediately for future billing, while already-paid access
continues until its scheduled expiration.
Customers may resubscribe at any time, subject to current pricing and availability.

11. Monthly Subscription Refunds

Once a monthly billing period begins, the payment for that period is generally
nonrefundable.
Customers may cancel at any time and retain access through the end of their paid
billing period.
Pixel Noise does not provide prorated refunds for unused subscription days simply
because a customer decides to stop using the service.

For example, a customer who purchases a monthly subscription and cancels the
following day may continue using the service until the end of that paid period, but
does not automatically receive a refund for the remaining days.
Payments from previous months are not refundable merely because the customer
later decides to cancel.
Exceptions for billing errors, significant service failures, and legally required
refunds are addressed in Section 15.

12. Annual Subscription Refunds

Annual subscriptions follow the same general cancellation principles.
Once an annual billing period begins, payment is generally nonrefundable.
Customers may cancel automatic renewal at any time.
After cancellation, annual subscription access continues through the end of the
year already paid for.
Pixel Noise does not ordinarily provide prorated refunds for unused portions of
annual subscriptions.
Applicable exceptions and legal rights remain in effect.

13. Pay-As-You-Go Purchases

Pay-as-you-go purchases are generally final and nonrefundable once completed.
Customers should review the offer and purchase details before completing
payment.
Unused credits do not automatically entitle customers to a refund.
Billing errors, significant service failures, and applicable legal requirements remain
exceptions to this policy.

14. Lifetime Memberships and Refunds

Pixel Noise offers lifetime memberships under the terms and benefits disclosed at
purchase.
A lifetime membership provides access for the supported lifetime of the Pixel
Noise service and applicable lifetime plan. It does not guarantee that the service
will operate forever or that every existing feature will remain unchanged.
Pixel Noise is committed to treating lifetime customers fairly.
Lifetime Membership Refund Schedule
For a lifetime membership purchased at $249, the following voluntary refund
policy applies:
Days 1–45: Full Refund
Customers may request a 100% refund of the lifetime membership purchase price
within the first 45 days.
For a $249 membership, the refund is $249.
Days 46–365: 50% Refund
Customers may request a 50% refund of the original lifetime membership
purchase price after the first 45 days, through day 365 following purchase.
For a $249 membership, the refund is $124.50.
After Day 365: No Voluntary Refund
After 365 days, lifetime membership purchases are no longer eligible for voluntary

refunds under this policy.
Refunds required by applicable law or otherwise approved by Pixel Noise remain
possible.
The applicable refund amount is calculated from the original lifetime membership
price actually paid, excluding taxes where applicable law requires different
treatment.
Lifetime Membership Refunds End the Account
When a lifetime membership refund is approved and processed:
- The lifetime membership is canceled.
- Lifetime membership benefits end.
- Access to Pixel Noise ends.
- The customer's Pixel Noise account is closed.
- Any remaining membership-related Upscale Credits are forfeited.
- Temporary customer processing data is handled according to the Privacy Policy and applicable deletion requirements.
The customer acknowledges that requesting and receiving a lifetime membership
refund means surrendering the lifetime membership and closing the associated
account.
Pixel Noise may retain limited transaction or other records when required by law,
for fraud prevention, or for legitimate legal and accounting purposes.

15. Refund Exceptions and Billing Errors

Pixel Noise wants to treat customers fairly.
Although the general refund policies above apply to ordinary changes of mind, we
will review legitimate problems, including:
- Duplicate charges.
- Incorrect billing amounts.
- Unauthorized or erroneous charges.
- Significant service failures that materially prevent use of purchased features.
- Other circumstances in which applicable law requires a refund.

Customers should contact Pixel Noise through our official support channel to
report billing problems.
We will review requests reasonably and in good faith.
Nothing in this agreement removes consumer refund rights that cannot legally be
waived.

16. Temporary Processing Data and Retention

Data associated with uploads and processing may be retained for up to seven
days before automatic deletion.
Pixel Noise is an artwork-processing service, not a permanent file-storage,
backup, or archival platform.
Customers are responsible for downloading and securely saving their completed
results.
Temporary technical retention does not guarantee that artwork or processing

results will remain available for customer retrieval during that period.
Certain account, transaction, and operational records may be retained longer
when necessary for legal compliance, accounting, security, or other legitimate
purposes.
Further information is provided in our Privacy Policy.

17. AI Processing and Image Quality

Pixel Noise uses digital image-processing technology, including AI-powered tools.
Results may vary depending on the quality of the original artwork, selected
settings, and processing methods.
Poor-quality images may produce imperfect results.
AI enhancement may introduce visual changes, distortions, or unexpected details.
Customers are responsible for reviewing their final images before printing,
manufacturing, distributing, or selling products.
Pixel Noise does not guarantee that every image will meet every customer's
expectations or production requirements.
Customers should conduct appropriate testing before commercial production.

18. Technical Limitations

Pixel Noise may impose file-size, image-dimension, processing, upload, or other
technical limitations to maintain service performance.
Current limits and supported formats may be displayed within the application.
Oversized, unsupported, damaged, or otherwise incompatible files may be
rejected or require adjustment.
We may modify reasonable technical limitations as technology and operating
requirements change.

19. Service Availability

Pixel Noise strives to provide a dependable service.
However, we cannot guarantee uninterrupted availability.
The service may occasionally experience maintenance, outages, technical errors,
third-party service interruptions, or other operational problems.
We may update, improve, replace, or discontinue features when reasonably
necessary.
Where appropriate, we will provide notice of material changes affecting paid
services.

20. Privacy and Data Protection

Pixel Noise respects customer privacy.
Personal information is handled according to our Privacy Policy.
Information may be processed by authorized service providers necessary to
operate Pixel Noise, including hosting, payment processing, email delivery, and
image-processing services.
We will describe relevant categories of data collection, processing, sharing,
retention, and deletion in our Privacy Policy.
Customers should review that policy to understand how their information is
handled.

21. Account Closure and Deletion

Customers may request account closure or deletion through the methods made
available by Pixel Noise.
Closing an account may permanently end access to purchased services, saved
settings, and available processing data.
Customers should download any results they wish to retain before requesting
account deletion.
Subscription cancellation and account deletion are separate processes unless the
applicable account-closure workflow expressly handles both.
Refunded lifetime memberships are subject to the account-closure provisions in
Section 14.
Some records may be retained where legally required or reasonably necessary for
accounting, fraud prevention, or dispute resolution.

22. Suspension and Termination

Pixel Noise reserves the right to suspend or terminate accounts involved in serious
violations of these Terms, fraud, unlawful activity, or threats to platform security.
Where appropriate, we may provide notice and an opportunity to resolve the issue.
We will not arbitrarily terminate accounts to avoid honoring legitimate paid
customer entitlements.
Termination for misconduct does not automatically entitle the customer to a
refund, subject to applicable law.

23. Intellectual Property of Pixel Noise

The Pixel Noise name, branding, interface, software, original website content, and
proprietary technologies are owned by or licensed to the operator of Pixel Noise.
Customers receive a limited right to access and use the service according to their
applicable plan.
Purchasing a subscription or lifetime membership does not transfer ownership of
Pixel Noise's software, trademarks, or underlying technology.
Customers may not copy, redistribute, reverse engineer, or commercially exploit
protected elements of the service except as permitted by law or written
authorization.

24. Disclaimer of Warranties

To the extent permitted by applicable law, Pixel Noise is provided on an "as is" and
"as available" basis.
We do not guarantee that the service will always be uninterrupted, error-free, or
suitable for every specific production requirement.
Nothing in these Terms excludes warranties or statutory consumer rights that
cannot legally be excluded.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Pixel Noise and T-Shirt Help
Desk LLC are not liable for indirect, incidental, special, consequential, or punitive
damages arising from use of the service, including lost profits, lost production,
lost business opportunities, or loss of data.

To the maximum extent permitted by law, our aggregate liability for claims relating
to the service will not exceed the total amount the customer paid to Pixel Noise
during the 12 months immediately preceding the event giving rise to the claim.
This limitation does not apply to liabilities that cannot legally be limited, including
any liability for which exclusion or limitation is prohibited by applicable law.
These provisions are intended to establish a reasonable allocation of risk between
Pixel Noise and its customers.

26. Customer Indemnification

To the extent permitted by law, customers agree to indemnify and hold harmless
Pixel Noise and T-Shirt Help Desk LLC against covered third-party claims and
reasonable associated costs arising from:
- Unauthorized use of copyrighted or trademarked material.
- Unlawful distribution or sale of processed artwork.
- Material violations of these Terms.
- Fraudulent or otherwise unlawful use of the service.

This obligation does not require customers to assume liability for Pixel Noise's own
misconduct or responsibilities that cannot legally be transferred.

27. Changes to the Service or Agreement

Pixel Noise may update these Terms to reflect changes in services, business
operations, technology, or legal requirements.
Material changes will be communicated when required by law or reasonably
appropriate.
Updated Terms will include a revised effective date.
Where required, we will obtain customer consent before applying material
changes.

28. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States,
except where applicable conflict-of-law rules or mandatory consumer protections
require otherwise.
Disputes will be addressed through the courts or other lawful procedures having
appropriate jurisdiction.
Nothing in these Terms prevents customers from exercising rights or remedies
that cannot legally be waived.
